Transmutation Camera LLC
1720 NW Lovejoy St #122 | (971) 384-7411 | admin@transmutationcamera.com
These Repair Services and Retail Terms and Conditions (these “Terms”) govern all repair services and retail sales provided by Transmutation Camera LLC (“Company”) to the customer identified on the accompanying repair intake form or sales receipt (“Customer”). By leaving equipment with Company for repair or diagnostic evaluation, or by completing a retail purchase, Customer agrees to be bound by these Terms in their entirety. If Customer does not agree to these Terms, Customer should not leave equipment with Company and should not complete a purchase.
Acceptance and Acknowledgment of Repair Process
Acceptance of Terms. By signing the repair intake form or completing a purchase, Customer acknowledges that Customer has read, understood, and agrees to these Terms. These Terms constitute a binding agreement between Customer and Company.
Repair Process Acknowledgment. Customer acknowledges that Customer has reviewed Company’s Repair Process, a copy of which is attached hereto as Exhibit A and incorporated into these Terms by reference. Customer agrees that all repair work will be performed in accordance with the procedures described therein.
Diagnostic Fee and Non-Refundable Deposit
Diagnostic Fee. A non-refundable diagnostic fee of seventy-five dollars ($75.00) is required at the time of intake for all repair submissions (the “Diagnostic Fee”). The Diagnostic Fee covers the cost of evaluating and diagnosing the condition of Customer’s equipment and is earned by Company upon receipt, regardless of whether Customer ultimately authorizes the repair, whether the repair succeeds, or whether any revised estimate is declined. The Diagnostic Fee represents the total amount Company retains in the event a repair is not completed for any reason.
Application Toward Completed Repair. If Customer authorizes the repair following diagnosis and the repair is completed, the Diagnostic Fee will be applied as a credit toward the total repair cost owed by Customer.
Declined and Failed Repairs. If Customer declines to authorize a repair following diagnosis, declines a revised estimate after disassembly, or if the repair is unsuccessful, Company will retain only the Diagnostic Fee. No additional charges beyond the Diagnostic Fee will be assessed to Customer in such circumstances. Equipment will be returned to Customer upon payment of any outstanding balance, including any accrued storage fees under Section 4.5.
No Guarantee of Repairability. Payment of the Diagnostic Fee does not guarantee that Company will be able to repair Customer’s equipment. If equipment is determined to be beyond economical repair, Company will notify Customer and return the equipment upon payment of the Diagnostic Fee. The Diagnostic Fee is earned and non-refundable regardless of the outcome of the evaluation.
Estimates and Re-Estimates
Initial Estimates. Initial repair estimates are based on an external inspection of Customer’s equipment. All estimates are provided in good faith but are not guaranteed. The actual cost of repair may differ from the initial estimate once the equipment has been disassembled and fully evaluated.
Re-Estimates After Disassembly. If disassembly or internal inspection reveals damage, parts requirements, or complexity not apparent from external inspection, Company will provide Customer with a revised estimate (a “Re-Estimate”). Company will make reasonable efforts to contact Customer using the contact information provided at intake before proceeding with any work beyond the initial estimate.
Customer Authorization of Re-Estimate. Customer must affirmatively authorize any Re-Estimate before Company will proceed with further repair work. Authorization may be provided verbally, in writing, or by email. If Company is unable to reach Customer within ten (10) business days of first attempting contact regarding a Re-Estimate, Company may, at its discretion, suspend work on the repair pending Customer’s response.
Declined Re-Estimates. If Customer declines a Re-Estimate after equipment has been disassembled, Company will reassemble the equipment to the best extent practicable and return it to Customer. Company will retain only the Diagnostic Fee. No additional labor charges will be assessed for the disassembly or re-assembly.
Estimate Adjustments Due to Undisclosed Conditions. Estimates are subject to revision if equipment is found upon inspection to have been exposed to water, sand, debris, or impact, or if Customer’s description of the issue at intake was inaccurate or incomplete. Company is responsible only for the items and issues identified on the intake form.
Payment
Payment Due Prior to Return. Full payment of all charges, including the repair cost and any applicable storage fees, is due prior to the return of equipment to Customer, whether by in-store pickup or shipment. Company will not release or ship equipment to Customer until payment is received in full.
Accepted Payment Methods. Company accepts cash, credit and debit cards, and PayPal. Checks are accepted subject to the processing fee described in Section 4.3.
Check Processing Fee. Payments made by personal or business check are subject to a five percent (5%) processing fee applied to the total amount due, in addition to any other charges. The processing fee will be disclosed to Customer prior to acceptance of the check. Company’s acceptance of a check as payment does not waive any rights under Section 4.4 in the event the check is dishonored.
Returned Check Fee. In the event a check submitted by Customer is returned unpaid by Customer’s financial institution for any reason, Customer shall be liable to Company for: (a) the full face amount of the returned check; (b) a returned check service charge in the maximum amount permitted under Oregon law, currently thirty-five dollars ($35.00) pursuant to ORS 30.701; and (c) any bank fees or charges incurred by Company as a direct result of the returned check. Company reserves the right to require cash or approved card payment for all future transactions following a returned check.
Storage Fees. Repairs that have been completed and for which Customer has been notified will incur a storage fee of five dollars ($5.00) per week, or portion thereof, beginning thirty (30) days after the date of Company’s first notice of completion to Customer. Storage fees accrue continuously and must be paid in full, along with all other outstanding charges, before equipment will be released or shipped to Customer. Storage fees are separate from and in addition to the abandonment provisions of Section 6.
Limited Warranty on Repair Services
Warranty Coverage. Company provides a 120 day limited warranty on all repair work performed by Company, commencing on the date the repaired equipment is returned to Customer (the “Warranty Period”). During the Warranty Period, Company will re-perform, at no additional charge to Customer, any repair that fails due to defects in the repair work itself.
Warranty Exclusions. The warranty provided under this Section 5 does not cover, and Company shall have no warranty obligation with respect to, any damage or failure caused by: (a) exposure to water, moisture, or liquid of any kind; (b) exposure to sand, dust, or debris; (c) impact, dropping, or physical shock; (d) tampering, unauthorized repair, or modification by Customer or any third party after the equipment is returned to Customer; or (e) normal wear and tear.
Warranty Claim Procedure. To make a warranty claim, Customer must return the equipment to Company within the Warranty Period with a description of the issue. Company will evaluate the equipment and determine, in its professional judgment, whether the failure is covered by this warranty. Company’s determination shall be final.
No Other Warranties. THE LIMITED WARRANTY SET FORTH IN THIS SECTION IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY COMPANY. COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Unclaimed and Abandoned Equipment
Notice of Completion. Upon completion of a repair or diagnostic evaluation, Company will contact Customer using the contact information provided at intake to notify Customer that equipment is ready for return, whether by in-store pickup or shipment. It is Customer’s responsibility to ensure that accurate and current contact information is provided at intake and updated promptly if it changes.
Abandonment After Ninety Days. Any equipment not retrieved by Customer within ninety (90) days of Company’s first notice of completion, or any equipment for which payment has not been made or Customer has not responded to Company’s contact attempts within ninety (90) days, shall be deemed abandoned by Customer. Company will make reasonable efforts to contact Customer at least two (2) times during this period using the contact information on file, including at least one written notice sent to Customer’s address of record, before declaring equipment abandoned.
Disposition of Abandoned Equipment. Upon a determination of abandonment, title to the equipment shall transfer to Company, and Company may, in its sole discretion, sell, donate, repurpose, or otherwise dispose of the equipment without further obligation to Customer. All accrued storage fees and outstanding charges are absorbed upon abandonment. Customer expressly waives any claim to the equipment or its proceeds following a valid abandonment determination made in accordance with this Section 6.
Customer Acknowledgment. Customer acknowledges that the abandonment policy set forth in this Section 6 is a material term of these Terms and is intended to prevent indefinite warehousing of unclaimed equipment, a condition Customer agrees is a legitimate and reasonable business concern.
Company’s Responsibility for Customer Equipment
Duty of Reasonable Care. While Customer’s equipment is in Company’s possession, Company will exercise reasonable care in handling, storing, and working on such equipment. Company is responsible only for damage directly caused by Company’s negligence while equipment is in Company’s custody.
Pre-Existing Condition Documentation. Company will note pre-existing damage or cosmetic issues on the repair intake form at the time of intake. Customer should review and confirm the intake form before leaving equipment with Company. Company shall not be responsible for any damage or condition that was noted on the intake form or that was present at the time of intake.
Limitation of Company’s Liability for Equipment. In the event that Customer’s equipment is lost or damaged while in Company’s possession due to Company’s negligence, Company’s liability shall be limited to the fair market value of the equipment at the time it was left with Company. Company shall not be liable for any sentimental value or value in excess of the equipment’s fair market value.
Data and Memory. Company is not responsible for any loss of data, images, recordings, or other content stored on or within Customer’s equipment. Customer is solely responsible for backing up any data before leaving equipment with Company.
Retail Sales and Returns
Return Window. Returns on retail store stock items are accepted within seven (7) days of the date of purchase. Items must be returned in their original, unaltered condition with all original accessories, packaging, and documentation included. Company reserves the right to refuse a return that does not meet these conditions.
Restocking Fee. All accepted returns are subject to a twelve and one-half percent (12.5%) restocking fee, which will be deducted from the refund amount.
Missing Accessories. If any accessories, components, or documentation included with the item at the time of sale are not returned with the item, the value of the missing items will be deducted from the refund amount in addition to the restocking fee.
Refund Method. Refunds will be credited back to the same payment method used for the original purchase. Company does not provide cash refunds for non-cash purchases.
Non-Returnable Items. The following items are not eligible for return or refund: (a) consignment items; (b) items that have been used, altered, or damaged after purchase; (c) special orders; and (d) any item expressly marked as non-returnable at the time of sale.
No Returns on Repair Services. Repair services are not subject to return. Customer’s remedy for dissatisfaction with repair work is exclusively through the limited warranty process described in Section 5.
Customer Representations
Ownership. Customer represents and warrants that Customer is the lawful owner of all equipment submitted for repair, or that Customer has the express authority of the lawful owner to authorize the repair and agree to these Terms on the owner’s behalf. Company shall have no liability arising from Customer’s submission of equipment that Customer does not own or have authority over.
Accurate Contact Information. Customer represents that all contact information provided at intake is accurate and current. Customer accepts sole responsibility for any consequences, including accrual of storage fees or abandonment of equipment under Section 6, arising from the provision of inaccurate or outdated contact information.
Accurate Description of Issue. Customer represents that the description of the problem or issue provided at intake is accurate to the best of Customer’s knowledge. Customer acknowledges that inaccurate descriptions may affect the accuracy of initial estimates and may result in Re-Estimates under Section 3.
Limitation of Liability
No Consequential Damages. IN NO EVENT SHALL COMPANY BE LIABLE TO CUSTOMER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF USE, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR ANY REPAIR SERVICES OR RETAIL SALES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Maximum Liability. Company’s total liability to Customer under these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by Customer to Company for the specific repair service or retail purchase giving rise to the claim.
Force Majeure
Company Performance. Company shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond Company’s reasonable control, including without limitation acts of God, natural disasters, pandemic, fire, flood, earthquake, government-ordered closures or restrictions, war, civil unrest, supply chain disruptions affecting the availability of necessary parts or components, or utility or infrastructure failures (each, a “Force Majeure Event”). In the event of a Force Majeure Event, Company will make reasonable efforts to notify Customer of the delay using the contact information on file and to resume performance as soon as practicable.
Abandonment Clock Suspension. The ninety (90) day abandonment period described in Section 6 shall be automatically suspended for the duration of any Force Majeure Event that prevents Company from operating normally or from returning equipment to customers. The abandonment period will resume running from where it left off upon the conclusion of the Force Majeure Event and restoration of normal operations. Company will notify Customer of any such suspension and resumption using the contact information on file.
Dispute Resolution
Informal Resolution. Customer agrees to contact Company directly to attempt to resolve any dispute before initiating formal proceedings. Company will make reasonable good-faith efforts to resolve disputes informally within thirty (30) days of receiving written notice from Customer.
Binding Arbitration. Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by the Arbitration Service of Portland in accordance with its then-current rules. The arbitration shall take place in Washington County, Oregon. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Customer waives any right to a jury trial with respect to any dispute covered by this Section 12.
Small Claims Exception. Notwithstanding the foregoing, either Party may elect to bring an individual claim in small claims court in Washington County, Oregon, for disputes within that court’s jurisdictional limits, in lieu of arbitration.
No Class Actions. Customer agrees that any dispute shall be resolved on an individual basis only. Customer waives any right to bring or participate in any class action, class arbitration, or representative proceeding against Company.
Attorneys’ Fees. In any arbitration or legal proceeding arising out of or related to these Terms, the prevailing Party shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing Party.
Governing Law
Governing Law and Venue. These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles. Any legal proceedings not subject to arbitration under Section 12 shall be brought exclusively in the state or federal courts located in Washington County, Oregon.
Amendments
Right to Amend. Company reserves the right to amend these Terms at any time. Updated Terms will be made available at Company’s place of business and, where practicable, on Company’s website. The Terms in effect at the time Customer leaves equipment for repair or completes a purchase shall govern that transaction.
Severability
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
Integration. These Terms, together with the repair intake form and Exhibit A (Repair Process), constitute the entire agreement between Company and Customer with respect to the subject matter hereof and supersede all prior representations, understandings, or agreements relating to such subject matter.
